1. Site Usage

    1. You may use the site for lawful, non-commercial purposes. You will not download, modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part, found on the Site. You may view (but not download, copy, or paste) copyrighted content solely for your personal use, but will make no other use of the content without the express written permission of Wordipedia LLC

Do not systematically retrieve content or use it to create another product: You may not engage in systematic retrieval of content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory. You may not mirror on your own site the home page or any other pages of the Site.

2. Your Communications via our Email/Editors and Content Submission System: You are responsible for your own communications and are responsible for the consequences of sending them through Wordipedia’s system.

2.1. Don’t post material that doesn’t belong to you. Do not post material that is copyrighted, unless you are the copyright owner or have the permission of the copyright owner to post it; do not post material that reveals trade secrets, unless you own them or have the permission of the owner; do not post material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others;

2.2. Don’t post material that is harmful or offensive to others. Do not post material that is obscene, defamatory, threatening, harassing, abusive, hateful or embarrassing to any other person or entity;

2.3. Don’t use our site to promote or solicit business. Do not post advertisements or solicitations of business; do not post chain letters or the like.

    2. We can remove communications for any reason: Wordipedia reserves the right, for any reason, to remove or edit messages or material submitted by users.

    1. We will do our best to get back to you if you request us to. Wordipedia will make a good faith effort to respond to communications submitted through its system, but Wordipedia has no liability or responsibility to users thereof.

3. Additional Terms Applicable to Subscriptions

3.1. Accounts: If any of the products or services available from the Site require you to open an account, you must complete the registration process by providing Wordipedia with true, current, complete and accurate information as prompted by the applicable registration form, and you will maintain and promptly update such information to keep it true, current, complete and accurate.

3.1.1. You are responsible for choosing and keeping your password secret. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. It is important to guard your password because, should someone else have your password, they can modify your profile, change your password so you no longer have access, delete your account, and delete or change your credit card information.

3.1.2. Tell us if someone gets access to your account. You agree to notify Wordipedia immediately of any unauthorized use of your account or any other breach of security.

3.1.3. We’re not liable if someone else gets access to your account. Wordipedia will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Wordipedia or any other person or entity due to someone else using your account or password.

3.1.4. You may not use anyone else's individual account at any time.

3.1.5. Tell us the truth about yourself. If you provide any information that is false, inaccurate, out of date, or incomplete, or Wordipedia has reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete, Wordipedia may suspend or terminate your account and refuse any and all current or future use of the products or services or any portion thereof.

3.1.6. We can expel users who violate the Terms of Use or the Law. Wordipedia reserves the right to expel users and prevent their further access to its system for violating the law or these Terms of Use.

3.1.7. Payment and Cancellation. Personal accounts may be paid with credit cards including Visa, Mastercard, American Express, and Discover. Personal accounts are invoiced automatically on a recurring Monthly basis until canceled by you. You may cancel with each invoice notification, or by updating your Profile and deleting your Auto Pay credit card. You can update your Profile by clicking the Edit Profile item under the Members Only item on the Main Menu. Use this method if you don't get or see an email with your invoice. Declined, returned, or canceled payments including those involving charge backs  may be charged a fee and expenses for resolution. Accounts are suspended until overdue invoices are paid. Corporate and institutional members may use these methods as well as electronic checks, ACH, and debit cards. Payment is in advance of services. We do not provide refunds as services are deemed to be used during the period subscribed. We reserve the right to terminate an account if we believe it is being used other than in accordance with these Terms of Use. No refund will be provided in these circumstances.

4. Ownership: The content of the Site, including all underlying software (collectively the "Software"), is the property of Wordipedia or licensors and is protected by international copyright, patent, and trademark laws. YOU SHALL NOT REPRODUCE, REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, OR CREATE DERIVATIVE WORKS WITH RESPECT TO THE SOFTWARE.

All Materials are protected by copyright and other forms of intellectual property, and are owned or controlled by Wordipedia, its affiliates, or the parties credited in the copyright and trademark notices within the Materials. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create new works from, distribute, perform, display, or in any way exploit, any of the Materials in whole or in part. You agree that any copy of the Materials that you make or have in your possession shall be unaltered and shall retain all copyright and other proprietary notices. All information and software provided through the Site is and shall remain the sole and exclusive property of Wordipedia, its affiliates or the parties credited in the copyright and trade mark notices within the Materials.

Wordipedia retains the right to delete, modify, enhance, or change the content, working, operation, and look and feel of the site at any time and without notice. 

The site makes use of data from third parties such as Google, Princeton, Wikimedia, Wordnik, and others as referenced in the Licenses page in the system and via copyright notices. At any time, Wordipedia may discontinue use of any service, for any reason, and without notice.

The site does not and does not intend to be an exhaustive dictionary or thesaurus. The words it suggests are ones we have chosen and engineered into the site. We focus on words of general use that we think are useful. The user may find many other dictionary, word reference, and thesaurus resources in print and online.

Warning: The unauthorized reproduction or distribution of this copyrighted work is illegal. Criminal copyright infringement, including infringement without monetary gain, is investigated by the FBI and is punishable by up to five years in federal prison and a fine of $250,000.




7. Indemnification: To the fullest extent permitted by law, you agree to indemnify and hold Wordipedia, its directors, officers, shareholders, parents, subsidiaries, affiliates, agents, and licensors harmless from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising out of the use or unauthorized copying of the Site or any of the content, the violation of these Terms of Use or any applicable laws or regulations.

8. Force Majeure
Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any Agreement contained herein.
